Payment Terms

These Payment Terms (“Payment Terms”) govern all payment-related transactions processed through the LeaseBase platform operated by LeaseBase Inc. (“LeaseBase,” “we,” “us,” or “our”), located at 447 Sutter St, Ste 506 – 1438, San Francisco, CA 94108. By using any payment feature on the LeaseBase platform, you (“User,” “you,” or “your”) agree to be bound by these Payment Terms in addition to our Terms of Service and Privacy Policy.
LeaseBase provides a property management software platform that facilitates rent collection and related payments between property owners (“Owners”) and tenants (“Tenants”). LeaseBase is not a bank, money transmitter, escrow service, or financial institution. All payment processing is performed by Stripe, Inc. (“Stripe”), a licensed third-party payment processor.
1. Payment Processing Infrastructure
1.1 Stripe Connect
All payments on the LeaseBase platform are processed through Stripe Connect Express. When a Tenant submits a payment, funds flow directly from the Tenant to the Owner’s connected Stripe account. LeaseBase does not hold, custody, or control Tenant funds at any point during the transaction.
1.2 Payment Flow
The payment flow operates as follows:
- The Tenant initiates a payment through the LeaseBase platform.
- Stripe processes the transaction and collects applicable processing fees.
- Stripe disburses the net payment amount to the Owner’s connected bank account.
- LeaseBase records the transaction for reporting and accounting purposes only.
1.3 Stripe Terms
By using payment features on the LeaseBase platform, you agree to be bound by the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). You authorize LeaseBase to share necessary information with Stripe for the purpose of facilitating payments.
2. Accepted Payment Methods
2.1 Supported Methods
LeaseBase supports the following payment methods through Stripe:
- ACH bank transfers (direct debit from a U.S. checking or savings account)
- Debit cards (Visa, Mastercard, Discover)
- Credit cards (Visa, Mastercard, Discover, American Express)
2.2 Payment Method Verification
Before a payment method can be used, Stripe may require verification. For ACH bank transfers, this may include micro-deposit verification or instant bank verification through a supported financial institution. For card payments, Stripe may perform a temporary authorization hold to verify the card is valid.
3. ACH Bank Transfer Terms
3.1 ACH Authorization
By providing your bank account information and initiating an ACH payment, you authorize Stripe, on behalf of the Owner, to electronically debit the designated bank account for the amount specified. This authorization remains in effect until you revoke it by removing the payment method from your LeaseBase account or contacting your bank, subject to sufficient notice for any pending transactions.
3.2 ACH Processing Time
ACH bank transfers typically take 3 to 5 business days to process. During this period, the payment will appear as “Pending” in your LeaseBase dashboard. The actual processing time may vary depending on your financial institution. Payments initiated after banking hours, on weekends, or on federal holidays will begin processing on the next business day.
3.3 NSF and Insufficient Funds
If an ACH payment is returned due to insufficient funds (NSF), a closed account, or any other reason:
- The payment will be marked as “Failed” in your LeaseBase account.
- Your bank may charge you an NSF or returned-item fee.
- The Owner may assess a returned-payment fee as permitted by your lease agreement and applicable law.
- You remain responsible for the original payment amount plus any applicable fees.
- Repeated ACH failures may result in the suspension of ACH payment privileges on your account.
3.4 ACH Dispute Rights
Under the National Automated Clearing House Association (NACHA) rules, you have the right to dispute an unauthorized ACH debit by contacting your bank. Consumer ACH debits may be returned up to 60 calendar days from the settlement date for unauthorized transactions.
4. Credit and Debit Card Terms
4.1 Card Authorization
By submitting a card payment, you represent and warrant that you are an authorized user of the card and that all information provided is accurate. You authorize Stripe to charge the card for the specified amount.
4.2 Card Processing
Card transactions are typically authorized in real time and settled within 1 to 2 business days. A temporary hold may appear on your statement during the authorization period.
4.3 Card Expiration and Updates
It is your responsibility to keep your card information current. If your card expires or is replaced, you must update your payment method in your LeaseBase account. Failure to do so may result in failed payments, which may trigger late fees as described in Section 9.
5. Processing Fees
5.1 Fee Disclosure
Payment processing fees are determined by Stripe and vary by payment method. Applicable fees are displayed to the User at the time of each transaction, before the payment is submitted. By proceeding with a payment, you acknowledge and accept the processing fees shown.
5.2 Fee Responsibility
Processing fees may be borne by the Tenant, the Owner, or split between parties, depending on the Owner’s configuration for the property. The fee allocation is disclosed at the time of payment.
5.3 Fee Changes
Processing fees are set by Stripe and are subject to change. LeaseBase does not control Stripe’s fee schedule. Any changes to Stripe’s fees will be reflected at the time of transaction. LeaseBase will make reasonable efforts to communicate material fee changes through the platform.
6. Autopay (Recurring Automatic Payments)
6.1 Enrollment
Tenants may enroll in autopay to authorize automatic recurring payments for rent and other charges associated with their lease. Enrollment is voluntary and can be configured through the Tenant dashboard. When enrolling, you must:
- Select a valid payment method (ACH bank transfer, debit card, or credit card).
- Review and confirm the recurring payment amount and schedule.
- Agree to the recurring payment authorization.
6.2 Autopay Authorization
By enrolling in autopay, you authorize Stripe, on behalf of the Owner, to automatically charge your selected payment method on each scheduled payment date for the amount due under your lease. This authorization constitutes a standing payment instruction and will remain in effect until you cancel autopay or your lease terminates.
6.3 Autopay Schedule and Amounts
Autopay payments are processed on the date specified during enrollment, which corresponds to your lease’s rent due date. If the payment date falls on a weekend or federal holiday, the payment may be processed on the next business day. The autopay amount reflects your current charges, which may include base rent and any recurring charges specified in your lease.
6.4 Cancellation of Autopay
You may cancel autopay at any time through your LeaseBase Tenant dashboard. Cancellation takes effect for the next scheduled payment, provided the cancellation is submitted at least 3 business days before the next payment date. Payments already in processing at the time of cancellation cannot be stopped through the platform; you must contact your financial institution for such requests.
6.5 Autopay Failure
If an autopay transaction fails due to insufficient funds, an expired card, or any other reason, LeaseBase will notify you via email. You are responsible for making the payment manually and updating your payment method if necessary. Failed autopay transactions may result in late fees as described in Section 9.
7. Platform Subscription Billing
7.1 Subscription Plans
LeaseBase offers the following subscription plans for property Owners:
- Free: For portfolios of up to 3 units. No monthly charge. No credit card required.
- Starter ($29 per month): For portfolios of up to 10 units. Additional units at $3 per unit per month.
- Enterprise (Custom Pricing): For large portfolios requiring dedicated support and custom integrations. Contact info@leasebase.ai for details.
7.2 Billing Cycle
Subscription fees are billed in advance on a monthly or annual basis, depending on the billing cycle selected at the time of subscription. Monthly subscriptions renew on the same calendar day each month. Annual subscriptions renew on the anniversary of the subscription start date.
7.3 Auto-Renewal
All paid subscription plans renew automatically at the end of each billing cycle unless cancelled before the renewal date. You will be charged the then-current subscription rate at the time of renewal. LeaseBase will provide at least 14 days’ advance notice of any price increases before your next renewal date.
7.4 Cancellation of Subscription
You may cancel your subscription at any time through your Owner dashboard or by contacting info@leasebase.ai. Upon cancellation:
- Your subscription remains active through the end of the current billing period.
- No prorated refunds are issued for partial billing periods.
- Your account will revert to the Starter (Free) plan at the end of the billing period, subject to unit limits.
7.5 Subscription Payment Failure
If a subscription payment fails, LeaseBase will attempt to process the payment up to 3 additional times over a 10-day period. You will be notified of each failed attempt via email. If all retry attempts fail, your account may be downgraded or suspended until payment is resolved.
8. Failed Payment Handling and Retry Logic
8.1 Tenant Rent Payments
If a rent payment fails, the following process applies:
- The payment is marked as “Failed” in the Tenant and Owner dashboards.
- The Tenant is notified via email with the reason for failure (if available from Stripe).
- The Tenant is responsible for resubmitting the payment manually or updating their payment method.
- LeaseBase does not automatically retry failed rent payments unless the Tenant has autopay enabled, in which case the system may attempt one additional retry within 3 business days.
8.2 Payment Status Tracking
All payment statuses are visible in real time on the LeaseBase dashboard. Payment statuses include: Pending, Processing, Succeeded, Failed, and Refunded.
9. Late Fees
9.1 Late Fee Configuration
Property Owners may configure late fees on a per-lease basis through the LeaseBase platform. Late fee amounts, grace periods, and assessment rules are set by the Owner in accordance with the lease agreement and applicable law.
9.2 Automated Late Fee Assessment
When configured by the Owner, LeaseBase may automatically assess late fees after the expiration of any grace period specified in the lease. Automated late fees are calculated and applied based on the rules the Owner has established. Tenants will be notified when a late fee has been assessed.
9.3 Legal Compliance
Late fees assessed through the LeaseBase platform must comply with all applicable federal, state, and local laws, including but not limited to California Civil Code Section 1671, which requires that late fees be a reasonable estimate of the costs incurred due to late payment. Owners are solely responsible for ensuring that their late fee configurations comply with applicable law. LeaseBase does not provide legal advice regarding the enforceability of late fees.
10. Owner Payouts
10.1 Payout Schedule
Owner payouts are processed by Stripe on Stripe’s standard payout schedule, which is typically 2 to 3 business days after a payment is successfully processed. Payout timing may vary based on the Owner’s Stripe account configuration, bank processing times, and applicable holds.
10.2 Payout Holds
Stripe may place holds on payouts for fraud prevention, risk management, or regulatory compliance purposes. LeaseBase does not control Stripe’s hold policies and is not responsible for delays caused by Stripe-initiated holds.
11. Refunds
11.1 Refund Process
Refunds are initiated by Owners through the LeaseBase platform and processed by Stripe. LeaseBase does not independently initiate refunds. To request a refund, Tenants should contact their property Owner directly.
11.2 Refund Timeline
Once an Owner initiates a refund:
- Card payments: Refunds typically appear on the cardholder’s statement within 5 to 10 business days.
- ACH payments: Refunds typically take 5 to 10 business days to be credited to the original bank account.
Actual refund timing depends on the payment method and the Tenant’s financial institution.
11.3 Refund Limitations
Refunds can only be issued to the original payment method. Partial refunds are supported. Processing fees paid on the original transaction may not be refundable, depending on Stripe’s refund policies at the time of the transaction.
12. Chargebacks and Payment Disputes
12.1 Chargeback Responsibility
In the event that a Tenant initiates a chargeback or payment dispute through their bank or card issuer, the Owner is solely responsible for responding to and resolving the dispute. LeaseBase is not a party to the transaction and does not bear financial responsibility for chargebacks.
12.2 Chargeback Process
When a chargeback is initiated:
- Stripe will notify the Owner through their Stripe dashboard and via email.
- The disputed amount will be temporarily debited from the Owner’s Stripe account.
- The Owner must submit evidence to Stripe to contest the chargeback within the timeframe specified by Stripe (typically 7 to 21 days).
- The card network (Visa, Mastercard, etc.) makes the final decision on the dispute.
12.3 Chargeback Fees
Stripe may assess a chargeback fee to the Owner for each dispute, regardless of the outcome. These fees are determined by Stripe and are the Owner’s responsibility.
13. Tax Responsibility
13.1 No Tax Reporting by LeaseBase
LeaseBase does not provide tax reporting, tax advice, or tax documentation. LeaseBase does not issue 1099 forms or any other tax documents to Owners or Tenants.
13.2 Stripe Tax Reporting
Stripe may issue IRS Form 1099-K or other tax documents to Owners who meet applicable reporting thresholds under federal or state law. Owners should consult Stripe’s documentation and their own tax advisors regarding tax reporting obligations.
13.3 User Tax Obligations
Each User is solely responsible for determining and fulfilling their own tax obligations arising from transactions processed through the LeaseBase platform. This includes, without limitation, income tax, sales tax, and any other applicable taxes.
14. Payment Data Security
14.1 PCI DSS Compliance
All payment processing on the LeaseBase platform is handled by Stripe, which is certified as a PCI Level 1 Service Provider, the highest level of certification available in the payments industry. LeaseBase leverages Stripe’s secure infrastructure to ensure that all payment data is handled in compliance with the Payment Card Industry Data Security Standard (PCI DSS).
14.2 No Storage of Payment Credentials
LeaseBase does not store, process, or have access to full credit card numbers, debit card numbers, bank account numbers, or other sensitive payment credentials. All payment information is collected and stored directly by Stripe using tokenized representations. LeaseBase only stores non-sensitive payment references (such as the last four digits of a card or account) for display and identification purposes.
14.3 Data Encryption
All communications between the LeaseBase platform and Stripe are encrypted using TLS 1.2 or higher. All data at rest within the LeaseBase platform is encrypted using AES-256 encryption.
14.4 Security Incident Notification
In the event of a security incident affecting payment data, LeaseBase will notify affected Users in accordance with applicable law, including the California Consumer Privacy Act (CCPA) and California’s data breach notification law (Cal. Civ. Code Section 1798.82).
15. California-Specific Payment Law Compliance
15.1 California Automatic Renewal Law
In compliance with California Business and Professions Code Sections 17600-17606 (the California Automatic Renewal Law), LeaseBase provides clear and conspicuous disclosure of automatic renewal terms before any subscription enrollment, obtains affirmative consent before charging for automatic renewals, provides a confirmation that includes the automatic renewal terms and cancellation policy, and offers a simple mechanism to cancel automatic renewals.
15.2 Electronic Fund Transfer Act Compliance
ACH transactions processed through the LeaseBase platform are subject to the Electronic Fund Transfer Act (EFTA) and Regulation E. Tenants have the right to stop preauthorized electronic fund transfers by notifying their financial institution at least 3 business days before the scheduled transfer date.
15.3 California Consumer Protection
LeaseBase complies with applicable California consumer protection laws, including but not limited to the Consumer Legal Remedies Act (Cal. Civ. Code Sections 1750-1785) and the California Unfair Competition Law (Cal. Bus. & Prof. Code Section 17200). Nothing in these Payment Terms limits any rights you may have under applicable California law.
16. Service Interruption Disclaimer
16.1 Availability
LeaseBase strives to maintain continuous availability of payment processing services but does not guarantee uninterrupted access. Payment processing may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our reasonable control, including but not limited to Stripe outages, internet service disruptions, natural disasters, or acts of government.
16.2 Third-Party Dependencies
Payment processing depends on the availability and performance of third-party services, including Stripe and the banking network. LeaseBase is not responsible for failures, delays, or errors caused by third-party service providers.
16.3 Notification
LeaseBase will make reasonable efforts to provide advance notice of scheduled maintenance that may affect payment processing. In the event of an unscheduled outage, LeaseBase will communicate status updates through the platform and via email when feasible.
17. Limitation of Liability for Payment Issues
17.1 Platform Role
LeaseBase provides a software platform that facilitates payment transactions between Owners and Tenants. LeaseBase is not a party to the underlying lease agreement, rental arrangement, or payment obligation between Owners and Tenants.
17.2 Limitation of Liability
To the maximum extent permitted by applicable law, LeaseBase shall not be liable for:
- Failed, delayed, or misdirected payments caused by incorrect information provided by Users.
- Payment processing errors, delays, or failures caused by Stripe or any financial institution.
- Unauthorized transactions resulting from compromised User credentials.
- Late fees, penalties, or damages arising from failed or delayed payments.
- Losses arising from chargebacks or payment disputes between Owners and Tenants.
- Tax liabilities, penalties, or interest arising from transactions processed through the platform.
- Any indirect, incidental, special, consequential, or punitive damages arising from payment-related issues.
17.3 Maximum Liability
In no event shall LeaseBase’s total aggregate liability for all claims arising from or related to payment processing exceed the lesser of (a) the total platform subscription fees paid by you to LeaseBase during the 12 months preceding the claim, or (b) one thousand dollars ($1,000).
17.4 Essential Purpose
The limitations and exclusions in this section apply regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if LeaseBase has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
18. Dispute Resolution
18.1 Payment Disputes Between Owners and Tenants
Disputes regarding payment amounts, late fees, refunds, or other payment matters between Owners and Tenants are to be resolved directly between those parties. LeaseBase is not responsible for mediating or resolving such disputes. LeaseBase may, at its sole discretion, provide transaction records to assist in dispute resolution.
18.2 Disputes with LeaseBase
Any disputes arising from these Payment Terms or LeaseBase’s platform subscription billing shall be resolved in accordance with the dispute resolution provisions in our Terms of Service.
19. Modifications to Payment Terms
LeaseBase reserves the right to modify these Payment Terms at any time. We will provide notice of material changes by posting the updated Payment Terms on our website and updating the “Last Updated” date at the top of this page. For material changes affecting your payment obligations, we will provide at least 30 days’ advance notice via email. Your continued use of payment features on the LeaseBase platform after the effective date of any modification constitutes your acceptance of the modified Payment Terms.
20. Severability
If any provision of these Payment Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed, and the remaining provisions of these Payment Terms shall continue in full force and effect.
21. Governing Law
These Payment Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action arising from these Payment Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California.
